Company acquisitions and sales

Over the years, the team has acted for a number of public sector bodies and publicly owned companies in selling and acquiring companies. As a result we are fully familiar with the particular public sector issues that arise and the processes involved in such sales and acquisitions. Our work in this field has included:

  • Advising on the sale of companies to the private sector or to management/employee buy out teams, involving the putting in place of arrangements to safeguard continuing employee participation within the Local Government Pension Scheme and "claw-back" arrangements to ensure the public sector shares in gains from subsequent business or property disposals.
  • Advising a publicly owned airport company on the acquisition of three other airport companies for an aggregate price of over £250m, from both public and private sector vendors.
