Our expert team provides advice and support throughout the outsourcing process from initial planning and strategy (including working closely with the project teams to identify key benefits and risks from the perspective of both parties) through applicable tendering/procurement requirements, contract drafting and negotiation, TUPE and other HR issues at the start, during and end of the outsourcing as well as support in managing the contract, and, as necessary, advice on early or planned termination and next steps at the end of the outsourcing arrangement.

Our team’s experience in advising throughout the life of an outsourcing covers all the usual legal aspects.  In addition we bring a pragmatic and commercial understanding of the real risks and challenges involved in outsourcing and can advise on how these can best be addressed and managed in practice (including advice on realistic performance measures and payment regimes designed to incentivise preferred behaviour and improvements in service delivery to the benefit of both parties).  We recognise that all too often outsourcing arrangements fail to deliver the expected benefits because of optimistic expectations at the outset, frequently coupled with contracts drafted with a focus on flexibility rather than certainty.  We work with our clients to develop robust, appropriate and realistic contracts which not only deal with the actual risk and benefit profile of each individual outsourcing but also address dispute and exit matters in a thorough and effective manner.
