Advice on Merger ControlUnder EU law, mergers satisfying the jurisdictional and turnover tests must be notified to the European Commission. Under UK law, it is not necessary to seek prior clearance for a merger meeting the turnover or market share test, but the purchaser runs the risk of the merger being referred to the Competition Commission for full investigation or an order being made requiring it to divest parts of the business where the competition authorities consider there would be a substantial lessening of competition.
